This Mutual Non-Disclosure Agreement (this "Agreement") is entered into as of the date signed below between Omaha Business Brokerage ("Broker"), and the undersigned party ("Disclosing/Receiving Party"), collectively referred to as the "Parties."
The Parties wish to explore a potential business relationship in connection with the possible sale, purchase, or evaluation of a business (the "Transaction"). In connection with this Transaction, each Party may disclose to the other certain confidential and proprietary information. This Agreement is intended to protect such information.
"Confidential Information" means any information disclosed by either Party to the other Party, either directly or indirectly, in writing, orally, or by inspection of tangible objects, including but not limited to: financial data, business plans, customer lists, employee information, trade secrets, pricing, valuations, deal structures, and any other information designated as confidential.
Each Party agrees to: (a) hold the other Party's Confidential Information in strict confidence; (b) not disclose the Confidential Information to any third parties without prior written consent; (c) use the Confidential Information solely for the purpose of evaluating the Transaction; (d) limit access to Confidential Information to those employees or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as this Agreement.
Confidential Information does not include information that: (a) was publicly known at the time of disclosure; (b) becomes publicly known through no breach of this Agreement; (c) was rightfully known to the receiving Party before disclosure; (d) is independently developed by the receiving Party without use of the Confidential Information; or (e) is required to be disclosed by law or court order, provided the receiving Party gives prompt written notice to the disclosing Party.
This Agreement shall remain in effect for a period of three (3) years from the date of signing, or until the Transaction is completed or abandoned, whichever occurs first.
Upon request by either Party, the receiving Party shall promptly return or destroy all Confidential Information and any copies, extracts, or other reproductions thereof.
Nothing in this Agreement grants any right, title, interest, or license to the Confidential Information beyond what is necessary for the Purpose stated herein.
The Parties acknowledge that any breach of this Agreement may cause irreparable harm for which monetary damages would be an inadequate remedy, and that the non-breaching Party shall be entitled to seek equitable relief including injunction and specific performance.
This Agreement shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of laws provisions.
This Agreement constitutes the entire agreement between the Parties with respect to confidentiality of the Confidential Information and supersedes all prior or contemporaneous oral or written agreements concerning such subject matter.
